The Flat Fee Lawyer offers basic legal services for small businesses and entrepreneurs. Our services are varied and cover many areas not described on this page. Please contact us for customized quotations to meet your specific needs. Standard services with published prices include:

Business Planning Package - Many of our clients have great business ideas but have limited experience in being a business owner. We provide a starting consultation and business planning session which takes most of a morning or afternoon. During the session we walk the client through a business planning process. We will cover everything from basic business concepts to employee matters, forms of entity, permitting and licensing, leases, buying and selling inventory, getting paid through credit cards, cash and online systems, basic record keeping, risk management and much more. This is a private session tailored to the client's needs. The client leaves the session with a check list and a road map to enable them to move forward with the business concept. Any work which the client can do on their own will defined and outlined to help save cost. Work which the client requests us to handle will be quoted and defined with a timeline and specific fees.
Document Review and Document Drafting and Development - Types of documents included are: Leases, letters, contracts, partnership agreements, LLC agreements, purchase and sale agreements, confidentiality, non-disclosure agreements, non-competition and non-solicitation agreements, employment and separation agreements. Unique transactions, such as Purchase and Sale of Businesses, Commercial Real Property, Significant License Agreements, Joint Ventures, Settlement Agreements and Releases of highly contested matters.

We will even review documents that you created through online legal form generators. We offer a legal review, not just an accuracy review, for documents you create. You can have confidence in the quality of the document by engaging us to read and amend to reflect current laws and the actual deal or transaction you are trying to execute. If you are confused about how to answer the question on the form, do your best and we will review the document to make sure it complies with the laws of the States of Florida or Ohio and reflects the transaction you intended. Business Start-Up Package* - For a fixed fee, The Flat Fee Lawyer will provide counsel on choice of entity, create the initial entity formation documents including state filings, assist in obtaining an Tax Identification number, provide basic governance instructions, help analyze other licenses and permits required, and provide initial operating and planning counsel.
Legal Risk Assessment – If you have been building your business, investing in your products and services without considering the risks inherent in running a business, you may be facing a substantial cost of Non-Compliance, employee claims and possible risk to the intellectual properties and assets you have spent so much time building. The Flat Fee Lawyer will provide a Legal Risk Assessment addressing more than 50 factors covering a broad range of topics from intellectual property, employment matters, litigation, tax and compliance. You will receive a written assessment similar to what a corporate board and CEO receive when assessing a company, including a visual analysis of the top risks which can impact your bottom line.
Tax Services* - a fixed fee, an affiliate of the Flat Fee Lawyer will prepare personal and business State and Federal tax returns, provide tax planning assistance and will handle and provide advice on tax disputes.
Residential Loan Modifications - Includes consultation, assessment of eligibility for potential loan modification, assistance in gathering documents and providing support, negotiation of modification.
Financing, Banking, Loan Negotiation and Modifications - Business and Commercial Loans and Alternative Financing Agreements including Capital and Operating Leases Negotiations.The Flat Fee Lawyer will negotiate initial loan documents, including factoring agreements, asset-based lending agreements, equipment leases, capital and operating leases, security agreements, mortgages, notes, guarantees, letters of credit, and other financing agreements.
General Counsel Services -For fixed monthly or quarterly fee, The Flat Fee Attorney offers a General Counsel Retainer Service which enables a client to access our services on a regular basis without additional charges for phone calls, document review, legal strategy, drafting of form documents, basic legal research requiring less than two hours of time and other services such as assistance in identifying experts and local counsel for litigation and special services. One in person or Skype meeting per month is included. Custom packages can be developed to alter the scope of services included in an agreed fixed fee, based upon client need and may include services such as document drafting, supervising experts and local counsel. Note: The fee does NOT include drafting of new custom documents, tax return preparation, travel, litigation and court appearances, negotiations, or ERISA advice or any out of pocket expenses, including for filing fees, court costs, online research systems, travel and the like. An additional litigation supervision and counsel package is available upon consultation. This service can be canceled at the end of the period of retention with written notice by either party. Fees are due and earned on the first day of each period.

Note: All out-of-pocket expenses, including filing fees, trademark name searches and taxes, are in addition to quoted fees.

In order to engage us, you will be required to read and sign the Engagement Agreement and provide a credit card number to which service fees can be billed. Once an Engagement Letter is received, a conflicts check will be conducted and, if there are no conflicts, and The Flat Fee Lawyer, in its sole discretion, agrees to accept the engagement, the Engagement Agreement will be returned to the Client signed by the Firm. All fees are collected at the time the Engagement Agreement is executed by The Flat Fee Lawyer, as otherwise agreed, by charging your credit card or through a direct fund transfer via QuickBooks’s Pay Now Services.
